Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“Customer”, “you”) and Skyone Technologies Pte Ltd (UEN: 201228874G) (“Skyone”, “we”, “us”, or “our”). By subscribing to or using any of our services, you accept these Terms in full. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that entity.

1. Services
“Services” means any services made available by Skyone, including but not limited to:
- Web Hosting and Business Email Hosting;
- Virtual Machine (VM) Server Solutions;
- Corporate Server & IT Maintenance;
- Skyone AI Workspace (private LibreChat-based AI platform).
We may modify, enhance, or discontinue features. Material changes affecting paid features will be notified with at least 30 days’ notice.
2. Your Account
- You must provide accurate, complete, and current information when creating an account and keep it up to date.
- You are responsible for maintaining the confidentiality of credentials and for all activities on your account.
- You must notify us immediately of any suspected unauthorised access at support@skyone.com.sg.
- For AI Workspace, you are responsible for managing your authorised user list, including revoking access promptly when employees or contractors leave.
3. Subscription, Billing & Payment
3.1 Recurring fees
AI Workspace and other subscription Services are billed monthly in advance via Stripe. Subscriptions auto-renew at the end of each billing cycle until cancelled.
3.2 One-time fees
Setup fees are charged at activation. Token Top-Up purchases are non-refundable once credits are applied to your account.
3.3 Payment methods
We accept credit/debit cards, PayNow, GrabPay, and other methods supported by Stripe in Singapore. You authorise us, via Stripe, to charge your selected payment method for all applicable fees.
3.4 Prices and taxes
All prices are in Singapore Dollars (SGD), exclusive of GST unless stated otherwise. We may revise pricing on at least 30 days’ written notice; existing subscriptions remain at their agreed price for the current billing cycle.
3.5 Failed payment
If a payment fails, we will retry for up to 14 days via Stripe’s standard dunning process. Service may be suspended thereafter. Repeated failure may result in termination per Section 12.
3.6 Cancellation
You may cancel any subscription via the customer portal or by emailing sales@skyone.com.sg. Cancellation takes effect at the end of the current billing period. No pro-rata refund is provided for partial months unless required by law. Setup fees and Top-Up purchases remain non-refundable.
4. Service Levels (SLA)
We endeavour to maintain the following monthly uptime targets for AI Workspace, measured at the LibreChat application layer:

Service credits must be requested in writing within 14 days of the affected month and are the sole and exclusive remedy for SLA breaches.
Excluded from uptime calculations: scheduled maintenance (notified at least 48 hours in advance), force majeure events (Section 13), third-party LLM provider outages, customer-caused issues, BYOK upstream failures, and DNS issues outside our control.
5. Acceptable Use Policy
You will not, and will not permit any user, to use the Services to:
- Violate any applicable law or regulation;
- Transmit malware, conduct phishing, or send unsolicited bulk email (spam) in violation of the Singapore Spam Control Act or analogous laws;
- Infringe intellectual property or other rights of third parties;
- Conduct denial-of-service attacks or interfere with the Services or other users;
- Attempt to gain unauthorised access to Skyone or third-party systems, contrary to the Singapore Computer Misuse Act;
- For AI Workspace specifically, generate content that is illegal, defamatory, harassing, hateful, sexually explicit involving minors, or that violates the underlying LLM providers’ usage policies (including OpenAI Usage Policies, Anthropic Acceptable Use Policy, Google Generative AI Prohibited Use Policy);
- Reverse engineer, decompile, or attempt to extract source code from proprietary components;
- Resell, sublicense, or rent the Services without our prior written consent.
We may suspend or terminate accounts found in material violation of this AUP, with notice where reasonable.
6. AI Workspace — Specific Terms
6.1 No warranty on AI output
AI-generated content is probabilistic and may contain errors, biases, or fabrications. You agree not to rely on AI output for critical decisions without independent verification by a qualified human. Skyone provides the platform and infrastructure but does not warrant the accuracy, completeness, or fitness of AI output.
6.2 LLM provider terms (pass-through)
Your use of upstream LLMs (via OpenRouter or BYOK) is also governed by those providers’ usage policies. By using AI Workspace, you and your authorised users agree to comply with those policies. Provider-specific links are available on request.
6.3 Token usage and overage
Each subscription tier includes a monthly token allotment as published. Overage is billed at cost + 15% on the next invoice, or, where you have BYOK, billed directly by your provider. Token usage is metered against the upstream provider’s reported consumption.
6.4 Authorised user management
You control the authorised user whitelist. You confirm that all authorised users are your employees, contractors, or affiliates with a legitimate need to use the Service, and that you have provided each user with appropriate notice of data processing.
6.5 Data Processing Agreement (DPA)
Your use of AI Workspace is also governed by a Data Processing Agreement that supplements these Terms, available on request at dpo@skyone.com.sg. The DPA designates Skyone as your data intermediary under PDPA.
7. Intellectual Property
- Skyone retains all rights, title, and interest in the Services, including platform configurations, custom integrations, branding tools, documentation, and all underlying technology, except as expressly licensed to you.
- LibreChat is open-source software made available under the MIT licence; your use of the LibreChat layer is also subject to that licence.
- You retain all rights in your data, including conversation content, files, configurations, and your custom branding (logo, product name).
- You grant Skyone a limited, non-exclusive, royalty-free licence to process your data and branding solely as required to deliver, operate, and support the Services on your instruction.
- Feedback and suggestions you provide may be used by Skyone without restriction or compensation.
8. Customer Data & Confidentiality
- We treat your data as confidential and access it only as required to deliver, support, secure, or improve the Services on your instruction.
- You may export AI Workspace conversation history at any time via the admin panel or by request to support@skyone.com.sg.
- Upon termination, we will provide a 30-day window for data export. After this window, data will be securely deleted, except as required by law.

9. Warranties & Disclaimers
The Services are provided “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by law, we disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that AI output is accurate, complete, current, or suitable for any particular purpose, that the Services will be uninterrupted or error-free, or that defects will be corrected. Nothing in this Section limits the SLA in Section 4.
10. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Services in any 12-month period shall not exceed the fees paid by you to Skyone for the Service giving rise to the claim in that period.
We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, lost revenue, or business interruption, even if advised of the possibility.
Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited or excluded under Singapore law.
11. Indemnification
You will defend, indemnify, and hold harmless Skyone (and our directors, officers, and employees) from and against any third-party claims, damages, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms or the AUP; (b) your data or content; (c) your violation of third-party rights, including LLM providers’ usage policies; or (d) misuse of the Services by your authorised users.
12. Termination
12.1 By you
You may cancel at any time via the customer portal or written notice; cancellation takes effect at the end of the current billing period.
12.2 By us
We may suspend or terminate Services with notice (where reasonable) for material breach (including AUP violation, non-payment beyond 14 days, or fraud).
12.3 Effect of termination
Upon termination, your access ends. You may export data within 30 days. Sections 7 (IP), 8 (Confidentiality), 9 (Warranties), 10 (Liability), 11 (Indemnification), 14 (Governing Law), and 15 (General) survive termination.
13. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, governmental actions, internet or utility outages, third-party provider failures, or cyberattacks against third-party infrastructure.
14. Governing Law & Disputes
- These Terms are governed by the laws of Singapore.
- The parties shall first attempt in good faith to resolve any dispute by negotiation for 30 days.
- If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore. For Enterprise tier customers, the parties may agree in writing to arbitration under the Singapore International Arbitration Centre (SIAC) rules in Singapore in lieu of court proceedings.
15. General
- Severability: if any provision is held invalid, the remainder remains in effect.
- No waiver: failure to enforce any provision is not a waiver of future enforcement.
- Assignment: you may not assign these Terms without our written consent; we may assign in connection with a merger, acquisition, or sale of assets.
- Entire agreement: these Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between the parties and supersede any prior arrangements on the same subject matter.
- Notices: written notices to sales@skyone.com.sg (us) or your registered email (you).
- Third-party rights: a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act to enforce them.
